Governance & Values

Walmart’s Board of Directors provides oversight of the company’s social, community and sustainability initiatives, including charitable giving, through its Nominating and Governance Committee. The committee is composed of a subset of Walmart’s majority-independent Board of Directors.

Walmart Giving is overseen by a separate committee of Walmart executives selected for their experience and expertise. This executive committee also serves as the Board of Directors of the Walmart Foundation and oversees Walmart’s corporate cash and in-kind giving.

The Walmart Foundation is a separately incorporated 501(c)(3) private foundation funded entirely by Walmart. Its financial statements are independently audited each year.
